_________________________________________________________________________SALES CONDITIONS

1. Orders
The orders we receive and the contracts agreed with our agents or representatives shall only be considered as valid if we expressly confirm them in writing. All supplies are made under reservation of title, according to the art. 1523 of the Civil Code. The customer acquires ownership of the goods on paying the last instalment of the price, whilst he assumes all risks from the moment of delivery.

2. Prices
The prices shown do not include VAT and unless other agreements are made, the prices applied will be those in force at the time of ordering. Any tax, transport charges, etc. that may arise during the period between the ordering and delivery dates will be charged to the customer.

3. Transport
The sales contract is understood to be executed by the delivery of the material to the forwarding agent. From this moment, the goods travel at the purchaser's risk and danger, who expressly exonerates us from all and any responsibility for damage, loss or anything else that may occur during transport. If the customer chooses a forwarding agent, we are not obliged to use the services of the same if this in our unquestionable opinion could hinder the normal delivery rhythms.

4. Complaints
Any complaints concerning the quality and quantity of the goods must be presented within eight days of goods receipt. Any such complaints, recognised as being motivated, only oblige us to the pure and simple replacement or integration of the defective or missing article, without the right to request the payment of damages of whatever kind.

5. Deliveries
The delivery terms are not binding, but rather indicative. The purchaser therefore exonerates us from all and any responsibility for damage pursuant to delayed goods delivery.

6. Payments
Unless other agreements are made, invoices must be paid in cash at our headquarters within 15 days from the date of issue. Payment is due within the established term, even in the case of the late arrival of the goods, damage, or total or partial loss during transport. If payment is not made in due course, we have the right to issue a bill at sight, without any warning, with the addition of the collection costs and duty stamps, as well as interest calculated at the rate of 5% above the official rate.

7. Disputes
All actions or controversies, as well as for the payment of the price of the goods sold, are understood to be absolutely the exclusive competence of the Court of Bergamo.

N.B.
By accepting these general conditions, the purchaser renounces any general purchase conditions he may have.
