1.General Indications
These general sales conditions shall be deemed fully accepted by the customers with the dispatch of the order.
Any amendments to the following conditions shall be made by document signed by both parties.
The descriptions, the photographs and the information contained in the catalogue and on the website shall be deemed provided for information purposes. We therefore reserve the right to make any technical and aesthetic change that might become necessary without prior notice.
Each contract is regulated by the laws of Italy.
All the supplies are made with retention of title according to art. 1523 of the Italian civil code. (In cases of sale with retention of title, the buyer acquires the title of the goods following payment of the last instalment, but accepts all risks from the time of delivery).
2. Orders
Orders shall only be deemed accepted when the order confirmation is issued.
3.Prices
Unless otherwise agreed, prices shall be those applicable at the time of order. Any tax or sales charges occurring between the order date and the delivery date shall be borne by the customer (unless previously agreed otherwise).
The prices indicated on the price list are net of VAT.
4.Deliveries
Delivery dates are merely approximate and consequently any delays in delivery shall not entitle the buyer to any indemnity and/or payment of damages. Deliveries, including partial, may not be refused and shall not entitle to order cancellation.
5.Transport
Unless otherwise agreed between the parties, transport conditions are normally EXW (Ex Works).
Goods travel under the responsibility and at the risk of the customer, which exempts us from any liability for damage, loss and whatever else occurs during transport, including when goods are sold free customer’s domicile.
6.Claims
Any claims concerning the quantity and the quality of the goods shall be made within eight days from receipt of the goods themselves. Such claims, acknowledged and motivated, shall oblige us only to simply replace or integrate the faulty or missing article, without any right to ask for the payment of damages of any kind whatsoever.
7.Damages
Any damages caused by factory faults or bad product operation shall be notified within twenty-four hours from the occurrence. The vendor company must receive all details of the occurrence by means of a duly-completed questionnaire. Subsequently, the photos shall be sent concerning the damage together with the sample of the product in question for any examinations. All documentation relating to the occurrence shall be kept at our disposal until the closing of the file.
We disclaim all liability for any damage deriving from use of the product without abiding by the safety precautions or as a result of incorrect installation in accordance with the laws applicable in the Country of use. It should also be remembered that to assemble and install products, the technical specifications provided by the vendor company must be complied with.
Claims or disputes shall under no circumstances entitle the customer to omit or delay payment.
8.Returned goods
No returned goods will be accepted without our prior authorization, to be given in writing. In all cases, goods shall be returned free our works.
9.Payments
All payments shall be made by bank transfer or cash order, to our offices within the agreed terms. In case of late payment, without prejudice to our right to start debt recovery actions, the defaulting customer shall be obliged to pay the full amount increased by the collection charges and interest on late payment in accordance with the official bank rate.
In case of failure to comply with the payment term, we shall be entitled to suspend, in whole or in part, the delivery of the goods, including if such goods refer to order confirmations duly accepted pursuant to these general sales conditions.
10.Warranties
All our products are carefully tested in our factory. They are therefore covered by a one-year warranty starting on the date of issue of the invoice.
11. Disputes
For all disputes, the only competent court of law shall be that of Bergamo.
Note. By accepting these general sales conditions, the buyer waives any purchasing conditions of its own.
